NSG Group, (hereinafter “the Company”) announces that, at a Board of Directors meeting held today, the Board resolved that the following changes be made with regard to Representative Executive Officers of the Company, with effect from the dates shown below.



1. Changes in Senior Management including Representatives



Keiji Yoshikawa is appointed Representative Executive Officer, President and CEO and succeeds Craig Naylor who retires from these positions. Clemens Miller is appointed Representative Executive Officer and COO and will take direct responsibility for the day-to-day management of all of the Group’s operations. Clemens Miller will remain Head of Architectural Glass and Specialty Glass Strategic Business Units until further notice. Mark Lyons is newly appointed as Representative Executive Officer and will continue to perform the role of CFO.



With these appointments, the number of the Company’s Representative Executive Officers is increased to three.



2. Reason for Changes



Since the appointment of Craig Naylor as President and CEO in June 2010, the Company has announced and implemented the three-year Strategic Management Plan (“SMP”), based on the Company’s long-term vision published in 2006. In response to the significant deterioration of the business environment thereafter, the Company announced and began implementing profit improvement programs in February 2012. The fundamental direction of the Company remains valid and the management changes are intended to further expedite the process of improving the Company’s performance.



2. Effective Date of Change



The appointments take effect on 18 April 2012. Craig Naylor will remain a member of the Board and an Executive Officer until 28 June 2012, when the Company’s 146th Ordinary General Meeting of Shareholders will be held.
